Lead Legal & Chief Compliance Officer

Role Overview

The Lead Legal & Chief Compliance Officer will oversee and manage the organization’s legal, regulatory, and compliance framework. The role covers company secretarial duties, litigation and dispute resolution, legal advisory, contract management, and AML/CFT/CPF compliance within a regulated financial services environment.

Key Responsibilities

• Litigation & Dispute Resolution
  • Draft and review statements of claim, defense, affidavits, and related court processes
  • Represent the company in negotiations, mediation, and arbitration (subject to approval)
• Transaction & Legal Advisory
  • Provide advisory services on insurance, banking & finance, employment, tax, property, intellectual property, and public law matters
  • Conduct legal research and issue well-reasoned legal opinions
• Contracts & Documentation
  • Draft and review SLAs, financial agreements, NDAs, employment contracts, deeds, and tripartite agreements
• Company Secretarial
  • Manage Board processes and governance documentation
  • Maintain statutory registers and meeting records
  • Draft Board resolutions and minutes
• Compliance & Regulatory
  • Develop and implement AML/CFT/CPF compliance programs
  • Vet and file Suspicious Transaction Reports (STRs) with regulatory authorities
  • File statutory and NIL returns with regulators including NAICOM and NFIU
  • Serve as liaison with regulatory bodies
  • Coordinate AML/CFT/CPF staff training programs
