These Terms of Service ("Terms") form a legally binding agreement between you, the user, and TR Thrive, governing your access to and use of our website at https://trthrive.com, including all associated services, features, content, and functionalities such as job listings, event management, professional networking, and career development tools tailored specifically for the legal industry.

By accessing or using our Platform, you confirm that you have carefully read, fully understood, and agree to be bound by these Terms in their entirety. These Terms outline your rights and responsibilities as a user, as well as our obligations as the platform provider. If you do not agree with any provision of these Terms, you must refrain from accessing or using the Platform. These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, and any disputes arising from your use of the Platform will be subject to Nigerian jurisdiction.

TR Thrive is committed to fostering a professional environment that empowers legal professionals, including law graduates, practising lawyers, and students, to advance their careers through access to job opportunities, professional events, and networking resources. Similarly, employers and event organisers benefit from tools to recruit talent and promote legal events. These Terms are designed to ensure a fair, transparent, and secure experience for all users while maintaining compliance with applicable laws and professional standards within the Nigerian legal sector.

2. Definitions

2.1 Platform-Related Terms

For clarity and consistency, certain terms used throughout these Terms have specific meanings. The term "Platform" refers to the TR Thrive website (https://trthrive.com), its subdomains, and all associated services, features, and functionalities, including but not limited to job postings, event management tools, professional networking capabilities, CV creation tools, and career development resources. "Services" encompasses the full range of features and tools available on the Platform, designed to facilitate career advancement and professional connections within the legal industry. "Content" includes all materials posted, generated, or made available on the Platform, such as text, graphics, images, videos, audio clips, data, and other information, whether provided by users or TR Thrive.

2.2 User Categories

The Platform serves a diverse range of users within the legal ecosystem. A "User" is any individual or entity accessing or using the Platform, whether as a registered account holder or a guest visitor. "Job Seekers" are legal professionals, law graduates, or students who utilise the Platform to search for job opportunities, register for events, or access career development tools to enhance their professional growth. "Employers" include law firms, corporate organisations, or individuals who use the Platform to post job vacancies, recruit legal talent, or manage hiring processes. "Event Organisers" are users who create, promote, and manage legal events, such as conferences, seminars, or continuing professional development (CPD) programmes, through the Platform’s event management tools.

2.3 Account Types

TR Thrive offers various account types to cater to different user needs. A "Free Account" provides access to basic features, such as limited job search capabilities and profile creation, suitable for users exploring the Platform. A "Pro Career Account" is a premium subscription offering enhanced features, such as advanced job search tools, priority application status, and access to exclusive resources. An "Employer Account" is tailored for recruitment purposes, enabling users to post job listings, search for candidates, and manage applications efficiently.

3. Account Terms

3.1 Account Creation and Eligibility

To access the full range of Services on TR Thrive, users must create an account by providing accurate, current, and complete registration information. Eligibility for an account requires that you are at least 18 years of age, possess the legal capacity to enter into a binding agreement under Nigerian law, and are not prohibited from using our Services under any applicable laws. You must also agree to our Privacy Policy, which outlines how we collect, use, and protect your personal data. Providing false or incomplete information during registration may result in account suspension or termination. Our Platform is designed to serve users within the Nigerian legal ecosystem and, where applicable, international jurisdictions, and we reserve the right to verify user eligibility through additional documentation if necessary.

3.2 Account Security

Account security is a shared responsibility. You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. All activities conducted under your account, whether authorised or not, are your responsibility. To enhance security, we strongly recommend using strong, unique passwords and enabling any additional security features provided by the Platform, such as two-factor authentication. You must immediately notify us at legal@trthrive.com of any unauthorised access, security breaches, or suspicious activities related to your account. To prevent unauthorised access, especially on shared or public devices, ensure you log out after each session. TR Thrive will not be liable for any losses or damages resulting from your failure to secure your account.

3.3 Account Restrictions

TR Thrive reserves the right to enforce restrictions to ensure the Platform’s integrity and compliance with these Terms. We may suspend or terminate accounts that violate these Terms, engage in prohibited activities, or pose a security risk. Content that violates our policies, such as offensive or illegal material, may be removed or edited at our discretion. Access to certain features may be limited based on your account type (e.g., Free, Pro Career, or Employer). For security and compliance purposes, we may monitor account activity and request additional documentation to verify user identity. These measures are in place to maintain a professional and secure environment for all users within the legal community.

4. User Obligations

4.1 General Conduct

As a user of TR Thrive, you agree to conduct yourself in a professional and lawful manner, consistent with the standards of the Nigerian legal profession. This includes complying with all applicable laws, regulations, and professional codes of conduct, such as those set by the Nigerian Bar Association (NBA). You must provide accurate and truthful information in all interactions, whether in job applications, event registrations, or professional profiles. Respect for other users is paramount; you are expected to engage courteously and professionally, fostering a collaborative environment. Any violations of these Terms or suspicious activities must be reported promptly to our support team at legal@trthrive.com to ensure the Platform remains a trusted space for all users.

4.2 Prohibited Activities

To maintain the integrity of the Platform, certain activities are strictly prohibited. You must not impersonate another individual or entity, post false, misleading, or fraudulent content, or engage in any form of harassment, discrimination, or harmful behaviour towards other users. Attempting to gain unauthorised access to the Platform or other users’ accounts, using the Platform for illegal purposes, or interfering with its functionality (e.g., through hacking or introducing malicious code) is forbidden. Additionally, collecting user information without consent, sending spam, or engaging in unsolicited communications violates our policies. Any such activities may result in immediate account suspension or termination and, where applicable, reporting to relevant authorities.

4.3 Professional Standards

Given the Platform’s focus on the legal industry, users are expected to adhere to the highest professional standards. This includes complying with the ethical and conduct rules outlined by the Nigerian Bar Association and other relevant regulatory bodies. You must maintain the confidentiality of client information, provide accurate representations of your qualifications and experience, and respect intellectual property rights. Where applicable, users should ensure compliance with professional licensing requirements, such as maintaining active bar membership. Failure to uphold these standards may result in content removal or account restrictions to protect the Platform’s reputation and user trust.

5. Content Guidelines

5.1 Job Postings

Job postings on TR Thrive must adhere to strict guidelines to ensure transparency and fairness. All postings must represent legitimate legal positions within Nigeria or, where applicable, international jurisdictions, and comply with Nigerian labour laws, including anti-discrimination and fair employment regulations. Employers must provide comprehensive job descriptions, including clear qualification requirements, transparent salary information or ranges, and details on whether the position is remote, hybrid, or on-site. Application deadlines and processes must be clearly stated to avoid confusion. Postings containing discriminatory language or unrealistic requirements will be removed to maintain the Platform’s commitment to equality and professionalism.

5.2 Event Listings

Event listings are a key feature of TR Thrive, enabling users to promote and attend legal conferences, seminars, and CPD programmes. Organisers must provide accurate and detailed event information, including the date, time, location (physical, virtual, or hybrid), registration requirements, and any associated fees. Contact information for the organiser must be included for user inquiries, and any CPD points or certifications offered must be clearly specified. Cancellation and refund policies must be transparent to avoid disputes. These requirements ensure that users can make informed decisions about event participation and that organisers maintain professional standards.

5.3 User Profiles

User profiles are a critical component of TR Thrive, enabling job seekers and employers to showcase their qualifications and opportunities. Profiles must contain accurate and verifiable information, including educational background, professional experience, and certifications. Professional profile pictures, where provided, should reflect the standards of the legal industry. Users must keep contact information up-to-date and respect client confidentiality when describing past experiences. For legal professionals, indicating active bar membership status is essential where applicable. Inaccurate or misleading profiles may be suspended to maintain the Platform’s credibility.

5.4 Content Moderation

TR Thrive actively moderates all content posted on the Platform to ensure compliance with these Terms and our policies. We reserve the right to review, remove, or modify content that is deemed inappropriate, misleading, or illegal. Accounts posting such content may face suspension or termination, and illegal content will be reported to the relevant authorities. Our moderation process is designed to maintain a professional and lawful environment, protecting users from harmful or fraudulent material while ensuring the Platform remains a trusted resource for the legal community.

6. Intellectual Property Rights

6.1 Platform Ownership

TR Thrive retains full ownership of all intellectual property associated with the Platform, including its design, layout, user interface, proprietary software, and technology. This also encompasses trademarks, logos, brand elements, and original content created by TR Thrive, such as guides, templates, or promotional materials. These assets are protected under Nigerian intellectual property laws, and unauthorised use, reproduction, or distribution is strictly prohibited. Users are granted a limited, non-exclusive licence to access and use the Platform for its intended purposes, subject to these Terms.

6.2 User Content License

When you post content on TR Thrive, such as job listings, event details, or professional profiles, you retain ownership of your original content. However, by posting, you grant TR Thrive a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute your content for the purpose of operating and promoting the Platform. This licence allows other users to view and interact with your content as permitted by the Platform’s functionality (e.g., employers viewing job seeker profiles). You warrant that you have the legal right to post such content and that it does not infringe on any third-party rights.

6.3 Copyright Protection

TR Thrive is committed to protecting intellectual property rights and complies with applicable copyright laws, including the Nigerian Copyright Act and the U.S. Digital Millennium Copyright Act (DMCA) where relevant. We promptly respond to valid copyright infringement notices and remove infringing content. Accounts found to repeatedly infringe on intellectual property may be terminated. Users who believe their content has been wrongfully removed can contact us at legal@trthrive.com to initiate a review process. Our procedures ensure a balance between protecting rights holders and maintaining fair use of the Platform.

7. Subscription Terms

7.1 Free Accounts

Free Accounts provide access to basic features of TR Thrive, designed for users who wish to explore the Platform’s offerings. These include basic job search and filtering tools, limited profile creation, access to the CV builder with standard templates, event browsing and registration, and basic application tracking. Free Accounts are ideal for new users or those with limited needs, but access to advanced features is restricted to encourage upgrading to premium accounts for a more comprehensive experience.

7.2 Pro Career Accounts

Pro Career Accounts are premium subscriptions offering enhanced features to job seekers seeking a competitive edge. These include advanced job search capabilities with custom filters, priority application status to stand out to employers, enhanced profile visibility, access to premium CV templates and tools, direct messaging with employers, detailed application statistics and insights, early access to exclusive events, and professional development resources such as webinars and guides. This account type is tailored for legal professionals aiming to maximise their career opportunities within the Nigerian legal market.

7.3 Employer Accounts

Employer Accounts are designed for law firms, organisations, and individuals seeking to recruit legal talent. Features include the ability to post job listings, search and filter candidate profiles, manage applications through integrated tools, access analytics and reporting on recruitment performance, and leverage employer branding options to attract top talent. These accounts streamline the hiring process, ensuring employers can efficiently connect with qualified candidates within the legal ecosystem.

8. Payment Terms

8.1 Pricing and Billing

All fees for TR Thrive’s premium services, such as Pro Career and Employer Accounts, are denominated in Nigerian Naira (NGN) and billed in advance through secure payment partners. Pricing details are available on the Platform, and we reserve the right to update prices with 30 days’ notice via email or Platform notification. Users are responsible for any applicable taxes, such as Value Added Tax (VAT), in accordance with Nigerian tax laws. We strive to maintain transparent pricing to ensure users can make informed decisions about their subscriptions.

8.2 Refund Policy

TR Thrive offers a refund policy to ensure fairness. Pro Career Account subscriptions may be refunded within 7 days of purchase, provided the user has not extensively utilised premium features. Event registration fees are subject to the specific cancellation and refund policies outlined in the event listing. Job posting fees are non-refundable once a listing is published, as the service is deemed delivered. Refund requests must be submitted in writing to legal@trthrive.com, and processing fees, where applicable, are non-refundable. Our refund process is designed to balance user satisfaction with operational fairness.

8.3 Payment Security

All payment transactions on TR Thrive are processed through secure, encrypted payment gateways that comply with the Payment Card Industry Data Security Standard (PCI DSS). We do not store complete payment information, such as full credit card details, to protect user privacy. Suspicious transactions may be flagged for review to prevent fraud, and users will be notified if additional verification is required. Our commitment to payment security ensures that users can trust the Platform with their financial information.

9. Limitation of Liability

9.1 Disclaimer of Warranties

TR Thrive provides the Platform and its Services on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. While we strive to ensure a reliable and secure experience, we do not guarantee that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. Users access the Platform at their own risk, acknowledging that technical issues or maintenance may occasionally affect availability. We are committed to addressing issues promptly but cannot warrant continuous or flawless operation.

9.2 Limitation of Liability

To the maximum extent permitted by Nigerian law, TR Thrive shall not be liable for indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to lost profits, business opportunities, or data loss. We are not responsible for unauthorised access to your account caused by your failure to secure your credentials or for the actions of other users or third parties. Our liability is limited to the amount paid for Services, if any, to ensure fairness while acknowledging the inherent risks of online platforms.

9.3 Indemnification

You agree to indemnify and hold TR Thrive, its affiliates, officers, and employees harmless from any claims, losses, or damages arising from your use of the Platform, content you post, violation of these Terms, or breach of applicable laws. This includes legal fees and costs incurred in defending such claims. Our indemnification policy ensures that users take responsibility for their actions, protecting the Platform from liability caused by misuse or unlawful behaviour.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed exclusively by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any disputes arising from or related to these Terms or your use of the Platform will be subject to the exclusive jurisdiction of Nigerian courts, specifically those in Lagos, Nigeria, unless otherwise agreed. This ensures a consistent legal framework for resolving issues while respecting the Platform’s operations within Nigeria.

10.2 Dispute Process

TR Thrive is committed to resolving disputes fairly and efficiently. Should a dispute arise, parties must first attempt informal negotiation for a period of 30 days by contacting legal@trthrive.com. If unresolved, disputes will proceed to mediation in Lagos, Nigeria, conducted by a mutually agreed mediator. If mediation fails, binding arbitration under Nigerian law will be pursued, conducted by a single arbitrator in Lagos. This multi-step process aims to resolve disputes amicably while minimising the need for costly litigation.

10.3 Time Limitation

Any claim or cause of action against TR Thrive must be brought within one (1) year from the date the issue arises, in accordance with Nigerian law. This time limitation ensures that disputes are addressed promptly, reducing uncertainty for both users and the Platform. Claims brought after this period will be considered time-barred, except where prohibited by law.

11. Changes to Terms

11.1 Modification Process

TR Thrive may update these Terms at any time to reflect changes in our Services, legal requirements, or operational needs. Material changes will be communicated to users via email or Platform notification at least 30 days before they take effect. Non-material changes, such as minor clarifications, may take effect immediately. Continued use of the Platform after the effective date of changes constitutes acceptance of the revised Terms. We encourage users to review the Terms periodically to stay informed of their rights and obligations.

11.2 User Rights

If you disagree with any changes to these Terms, you may terminate your account before the changes take effect by contacting legal@trthrive.com. Upon termination, you may request a data export of your account information, subject to our Privacy Policy and applicable laws.
