Legal Counsel

The Legal Counsel will provide day-to-day legal support to South Atlantic LNG West Africa Limited across its gas and LNG development activities. The role focuses on contract review and negotiation, regulatory compliance, project development support, and general corporate legal matters, working under the supervision of senior management and external advisers.

This position is well suited to a lawyer with solid oil & gas or infrastructure experience who is looking to grow into a senior in-house energy role.

Key Responsibilities

1. Commercial & Contractual Support

• Draft, review, and negotiate commercial agreements including:
• Gas Supply Agreements (GSAs)
• LNG Offtake Agreements
• EPC, EPCM, and consultancy contracts
• O&M and logistics agreements
• Support contract administration, change management, and compliance with contractual obligations.
• Assist with risk allocation and mitigation in project contracts.

2. Project Development Support

• Provide legal support during project development, FEED, and early construction phases.
• Assist with land acquisition, site leases, access agreements, and host community arrangements.
• Support permitting and licensing processes for LNG and gas infrastructure projects.

3. Regulatory & Compliance

• Support compliance with applicable Nigerian oil & gas laws and regulations, including:
• Petroleum Industry Act (PIA)
• NUPRC and NMDPRA requirements
• Assist with regulatory filings, licence applications, and correspondence with regulators.
• Support Nigerian Oil & Gas Industry Content Development (Local Content) compliance.

4. Corporate & Governance

• Support general corporate legal matters including board resolutions, statutory filings, and corporate records.
• Assist with shareholder matters, joint venture documentation, and corporate restructuring activities.
• Liaise with company secretaries and external counsel as required.

5. Transactions & Finance Support

• Assist with legal due diligence for financing and investment transactions.
• Review term sheets, NDAs, guarantees, and transaction documents under supervision.
• Coordinate with lenders’ and investors’ legal advisers.

6. Dispute Management & External Counsel

• Support dispute avoidance and claims management.
• Coordinate and manage external legal advisers on specific matters.
• Assist with regulatory or contractual disputes where required.
