Job Description
IPMC is seeking an experienced Legal and Regulatory Due Diligence Consultant to assess the company's legal position, corporate governance, regulatory compliance, contractual obligations and legal risks.
Key Responsibilities
- Review the company's corporate governance structure, shareholder arrangements, Board effectiveness and statutory records.
- Review key commercial agreements, including Joint Venture Agreements, Production Sharing Contracts, Farm-in/Farm-out Agreements, supplier contracts and financing agreements.
- Assess regulatory compliance, licences, permits, environmental and HSE obligations.
- Review host community commitments.
- Assess pending litigation, arbitration matters, contingent liabilities and regulatory sanctions.
- Identify legal and regulatory risks and recommend appropriate remedial actions. Expected Deliverable
- The successful consultant will be expected to produce:
- Legal Due Diligence Report
- Regulatory Compliance Assessment
- Legal Risk Register
- Corporate Governance Review
- Remediation and Compliance Roadmap
Requirements
- Must be a qualified legal practitioner.
- Minimum 10 years post-call experience.
- Strong oil and gas regulatory experience.
- Experience in corporate restructuring and M&A transactions.
