Job Description

 

Job Purpose 

The Legal & Compliance Officer is responsible for leading the legal, regulatory, and corporate governance framework of 21st CESL. This role ensures that the organization operates in full compliance with applicable laws, regulatory requirements, and industry standards, while proactively managing legal risk and safeguarding corporate interests. The position serves as the principal legal advisor to executive management, provides strategic guidance on contracts and regulatory matters, and ensures that internal policies and governance practices reflect the highest ethical and professional standards. 

Key Responsibilities 

Legal Advisory, Risk Management & Dispute Resolution

  • Provide proactive legal advice to executive leadership on business operations, transactions, and strategic initiatives.
  • Interpret and communicate the implications of Nigerian laws, regulations, and judicial decisions on company activities.
  • Identify potential legal exposures and develop risk mitigation strategies.
  • Manage legal correspondence, pre-litigation matters, and external counsel engagements.
  • Maintain legal risk registers and advise management on high-impact legal decisions.
Contract Management, Negotiation & Commercial Governance

  • Draft, review, and negotiate commercial agreements with clients, vendors, consultants, and partners.
  • Ensure contracts adequately protect company interests and comply with regulatory and governance standards.
  • Develop and standardize contract templates, approval workflows, and control procedures.
  • Maintain a centralized and secure repository of executed agreements.
  • Monitor contract lifecycles, renewals, variations, and termination timelines.
Regulatory Compliance & Statutory Governance

  • Ensure timely statutory filings and regulatory compliance with bodies including CAC, FIRS, PENCOM, and relevant sector regulators.
  • Monitor licensing, permits, and regulatory obligations across business units.
  • Maintain comprehensive compliance registers and renewal schedules.
  • Coordinate responses to regulatory audits, inspections, and inquiries.
  • Advise internal stakeholders on regulatory changes and compliance implications.
Corporate Governance, Ethics & Policy Oversight

  • Support the implementation of corporate governance frameworks, board protocols, and management structures.
  • Draft, review, and update internal policies to ensure legal, ethical, and regulatory alignment.
  • Monitor organizational compliance with approved policies and codes of conduct.
  • Promote ethical standards, transparency, and corporate responsibility.
  • Lead legal, compliance, and ethics awareness programs across the organization.
Meeting and Report Support

  • Prepare briefing notes, presentations, and reports for meetings and engagements.
  • Take accurate meeting minutes where required and track action items to completion.
  • Support preparation of management and executive reports.
  • Ensure timely circulation of meeting materials and outcomes.
Corporate Secretarial & Records Management Support

  • Liaise with external Company Secretaries and professional advisers as required.
  • Prepare, review, file board and shareholder resolutions, statutory returns, and corporate disclosures.
  • Maintain corporate records, shareholding registers, and governance documentation.
  • Ensure compliance with the Companies and Allied Matters Act (CAMA) and applicable governance codes.
  • Safeguard confidential legal and corporate information.

 

Qualifications 

 

  • Bachelor of Laws (LL.B) and Barrister-at-Law (B.L); called to the Nigerian Bar.
  • Postgraduate qualification or certification in Compliance, Risk Management, or Corporate Governance (advantage).
  • Minimum of 4–6 years progressive experience in legal, regulatory, and compliance roles, preferably within technology, infrastructure, or consulting environments.
  • Demonstrated experience in contract management, regulatory liaison, and corporate governance.

Technical Skills 

 

  • Advanced legal drafting and documentation skills.
  • Strong contract review, analysis, and risk evaluation capability.
  • Proficiency in legal research, regulatory analysis, and case law interpretation.
  • Sound legal risk assessment and mitigation planning skills.
  • Professional legal advisory and opinion-writing competence.
  • Strong statutory and regulatory interpretation skills.
  • Effective commercial and regulatory negotiation ability.
  • Proficiency in Microsoft Word and legal documentation tools.

  • Contract and agreement review turnaround time.
  • Percentage of agreements executed without material legal exposure.
  • Reduction in legal and compliance-related incidents.
  • Effectiveness of legal advisory support to business units.
  • Resolution time for legal and regulatory matters.
  • Accuracy and completeness of corporate and legal records.
  • Commercial support (pipeline support, follow-up closure rate, deal velocity, Target achievement)
