Job Description

The Head, Legal & Compliance will provide enterprise-wide legal, regulatory, and compliance leadership across SeamlessHR and its subsidiaries. The role will be responsible for setting up the legal and compliance strategy, strengthening governance frameworks, managing regulatory relationships, and enabling the business to scale confidently across multiple jurisdictions. The role will also oversee the Company Secretariat function and lead the legal and compliance team to deliver high-quality, business-aligned legal support.

Job Details

  1. Legal Strategy & Executive Advisory
    • Serve as principal legal adviser to the CEO, executive management, and Board on legal, regulatory, and risk matters.
    • Define and drive the company’s legal and compliance strategy in alignment with business growth plans.
    • Provide proactive guidance on market expansion, new products, partnerships, and strategic initiatives.
    • Ensure legal risk is appropriately balanced with commercial objectives.
  2. Corporate Governance & Company Secretariat Oversight
    • Oversee the Company Secretariat function, ensuring effective Board and committee governance.
    • Ensure timely preparation of Board materials, resolutions, statutory filings, and corporate records.
    • Advise the Board and executive leadership on fiduciary duties and governance best practices.
    • Maintain strong governance standards across all entities and jurisdictions.
  3. Enterprise Risk, Compliance & Regulatory Leadership
    • Establish and continuously strengthen the enterprise compliance and regulatory framework.
    • Oversee compliance with applicable laws and regulations across all operating markets.
    • Maintain active relationships with key regulators and external stakeholders.
    • Lead internal and external regulatory audits, reviews, and remediation programmes.
  4. Commercial Legal & Product Risk Management
    • Provide strategic oversight on complex commercial contracts, partnerships, and enterprise deals.
    • Partner with Product, Technology, Sales, and Finance teams to embed legal and regulatory considerations into business processes.
    • Oversee legal risk assessment for new products, platform features, and market entries.
    • Ensure the contract management framework supports scale, speed, and risk control.
  5. Litigation & External Counsel Management
    • Oversee all disputes, litigation, and regulatory matters in collaboration with external counsel.
    • Define litigation strategy and approve settlements where required.
    • Select and manage external legal advisers to ensure quality, efficiency, and cost discipline.
    • Monitor legal spend and optimise use of external counsel.
  6. Legal Operations, Team Leadership & Culture
    • Build, lead, and develop a high-performing Legal function.
    • Establish scalable legal processes, policies, and operating frameworks.
    • Drive organisation-wide awareness of legal and compliance obligations.
    • Promote high ethical standards and reinforce SeamlessHR’s core values.
    • Provide mentorship and direction to the Senior Legal Counsel and broader team.

Requirements

  • LLB and B.L in Law.
  • LLM or relevant postgraduate qualification is an advantage.
  • Minimum of 12–15 years’ relevant legal experience, with significant in-house leadership exposure.
  • Proven experience in technology, SaaS, fintech, financial services, or other regulated industries.
  • Demonstrated leadership of legal, compliance, or governance functions at scale.
  • Strong expertise in corporate governance, regulatory compliance, and commercial law.
  • Practical understanding of data protection and multi-jurisdictional regulatory environments.
  • Strong commercial acumen and ability to balance risk with business growth.
  • Demonstrated experience engaging Boards and senior executives.
