About the Role

  • KloudOpp Limited is seeking a strategic, highly experienced Chief Legal Officer to lead the company’s legal, compliance, and corporate governance functions.
  • The CLO will provide legal guidance at the executive level, mitigate legal risks, ensure regulatory compliance across all jurisdictions of operation, and support strategic business decisions including partnerships, investments, and corporate transactions.
  • The ideal candidate has 15+ years of experience in corporate law, preferably with experience in FinTech, HealthTech, EdTech, Logistics Tech, or enterprise technology companies, and has worked with high-revenue organizations or global firms.

Key Responsibilities
Corporate Governance & Legal Strategy:

  • Advise the Board and executive team on corporate governance matters.
  • Develop and implement company-wide legal policies and compliance programs.
  • Ensure the company operates in accordance with all applicable laws, regulations, and industry standards.

Contract Management & Negotiations:

  • Draft, review, and negotiate contracts, agreements, and MOUs with partners, vendors, and clients.
  • Structure deals to mitigate risk while maximizing value for the company.
  • Provide legal guidance on partnerships, investments, mergers, acquisitions, and joint ventures.

Regulatory Compliance:

  • Ensure compliance with local and international laws, including fintech, data protection, privacy, and labor regulations.
  • Monitor regulatory developments and advise the company on necessary operational adjustments.
  • Liaise with regulatory bodies, government agencies, and external counsel.

Risk Management:

  • Identify potential legal and regulatory risks and implement mitigation strategies.
  • Develop company policies and procedures to minimize legal exposure.
  • Support internal investigations and litigation management as needed.

Leadership & Team Management:

  • Lead, mentor, and develop the legal and compliance team.
  • Oversee outsourced legal counsel and ensure alignment with company strategy.
  • Act as a trusted advisor to C-level executives and business units on legal implications of business initiatives.

Corporate & Investment Transactions:

  • Provide legal support for fundraising, investment rounds, and corporate financing.
  • Draft and review legal documents for investors, shareholders, and joint venture partners.
  • Ensure all corporate filings and governance documentation are accurate and up-to-date.

Requirements

15+ years of professional experience in corporate law or as senior legal counsel.

  • Experience with high-revenue or global technology companies, preferably in FinTech, HealthTech, EdTech, or Logistics Tech.
  • Expertise in corporate governance, contracts, regulatory compliance, and risk management.
  • Experience with investment transactions, fundraising, M&A, and partnerships.
  • Strong negotiation, drafting, and advisory skills.
  • Ability to provide strategic legal guidance at the executive and board level.
  • Excellent understanding of local and international law applicable to tech companies.
  • Must pass rigorous background and reference checks.

Preferred Qualifications:

  • Law Degree from a recognized institution; additional qualifications (LL.M, Corporate Law Certification) preferred.
  • Membership in relevant legal professional bodies (Nigerian Bar Association, International Bar, etc.).
  • Experience managing remote legal teams.
  • Familiarity with fintech regulations, data privacy laws (GDPR, NDPR), and intellectual property.
