Job Description
The Legal Officer will serve as the principal legal and corporate governance officer, responsible for ensuring the company's legal and regulatory compliance, advising the Board and management, maintaining statutory records, managing corporate documentation and supporting the resolution of legal disputes.
Key Responsibilities
- Vet legal documents and transactions involving the company.
- Provide legal advice to the Board and management and identify potential legal risks.
- Ensure compliance with corporate laws, regulations and governance requirements.
- Coordinate Board meetings, including agendas, documents and minutes.
- Maintain statutory registers, corporate records and other legal documentation.
- Prepare and file statutory returns with regulatory authorities, including CAC.
- Draft, review, revise and negotiate contracts and other legal documents.
- Develop and monitor compliance frameworks.
- Liaise with shareholders, regulators, auditors and other stakeholders.
- Facilitate communication between the Board and management.
- Identify and recommend measures to mitigate legal and governance risks.
- Manage legal disputes and work towards timely resolution in the company's best interest.
Requirements
- Must be qualified as a Barrister and Solicitor of the Supreme Court of Nigeria.
- Minimum 7 years post-call experience.
- Substantial experience in:
Litigation
Corporate law
Regulatory compliance - Particularly within the real estate sector
Strong legal drafting, research and analytical skills. - Experience preparing legal documents and Board resolutions.
- Ability to work independently and manage multiple matters and deadlines.
- Strong professional judgment, integrity and attention to detail.
- Excellent written and verbal communication skills.
