About the Role

  • The Manager, Legal & Compliance provides mid-level legal, compliance, and regulatory support across the Group.
  • The role serves as a key liaison with external legal counsel, manages litigation matters, and ensures compliance with capital market and investment regulations.
  • The Manager also provides legal advisory, supports company secretarial functions, reviews contracts, conducts legal research, and ensures adherence to applicable laws, regulatory guidelines, and internal governance standards.
  • This role is ideal for a highly analytical legal professional with strong litigation experience and demonstrated competence in dealing with regulators such as the SEC and NGX.
  • You will report to the Head, Legal & Compliance.

Key Responsibilities
Legal Advisory & Research:

  • Conduct in-depth legal research on investment regulations, securities law, corporate governance, and other areas relevant to the business.
  • Provide clear legal opinions on regulatory issues, transactions, and potential risks.
  • Analyze changes in laws and legal precedents that may impact the business and advise relevant stakeholders.
  • Support the interpretation of laws, rulings, and regulations for business decisions.

Litigation Management:

  • Serve as primary liaison with external legal counsel on all litigation matters.
  • Manage the end-to-end litigation process, including review of pleadings, evidence assessment, and coordination of court documentation.
  • Track litigation timelines, risks, and outcomes, ensuring internal stakeholders are kept informed.
  • Prepare internal litigation briefs and updates for senior management.

Regulatory Compliance:

  • Monitor and ensure compliance with legal and regulatory obligations applicable to financial services operations.
  • Maintain strong working relationships with key regulators (SEC, NGX  where applicable).
  • Assist in preparing and submitting regulatory filings, responses, and compliance documentation.
  • Support internal compliance monitoring activities, including reviews of policies and procedures to ensure alignment with regulatory standards.
  • Contribute to AML/CFT processes and compliance initiatives.

Contract Review & Document Management:

  • Draft, review, and negotiate contracts and agreements to ensure the company’s interests are protected.
  • Identify key risks in legal documents including terms of liability, confidentiality, obligations, and compliance requirements.
  • Maintain accurate records of document versions, amendments, and approvals.
  • Support digitization and structuring of the contract management system.

Corporate Governance & Company Secretarial Support:

  • Assist in maintaining statutory books, registers, and corporate records across the Group.
  • Support the planning and coordination of board and committee meetings, including preparation of materials, notices, and minutes.
  • Support compliance with filing obligations and corporate governance requirements.
  • Facilitate communication between internal teams, the board secretariat, and external governance stakeholders.

Regulatory & Capital Market Engagement:

  • Support interactions with regulators, ensuring timely and accurate submission of filings.
  • Monitor and interpret updates in the regulatory environment affecting the company.
  • Provide advisory on capital market transactions, reporting requirements, and regulatory engagements.

Requirements

LLB (Minimum of Second Class Upper); BL (Minimum of Second Class Upper)

  • 4–6 years post-call experience, preferably in financial services or top-tier law firms.
  • Familiarity with the Nigerian regulatory environment and investment laws
  • 2 years proven work experience in a related position.
  • Experience working in law firms and investment management or financial services firms preferred.
  • ICSAN and CGI membership is an added advantage.
  • SEC Sponsored Individual license is an added advantage.
  • Extensive legal and regulatory knowledge
  • Strong leadership, analytical, and communication skills 
  • Excellent communication & interpersonal skills

I learned this firsthand.I was awarded the Commonwealth Shared Scholarship to study International Law in the United Kingdom during the 2022/2023 academic session, but it did not happen on my first try. The first year I applied, I thought I had done everything right. I started preparing about a month before the scholarship deadline, which to me then seemed early enough. I wrote my essays diligently and submitted before the deadline.However, I was utterly disappointed when I received a rejection email a few months later. I asked myself, “How could they? I put in a lot of effort.”I applied again the following year, and this time, I was successful. So, what changed? Two things: information and preparation.In my second attempt, I began preparing almost a year ahead. I had realised that every scholarship application needs a hook, and how well you fit into that hook and its appeal to the selection committee often determine your chances. In other words, you need a relevant niche and a coherent, compelling story that ties together your experiences, interests, reasons for applying, and future aspirations.All these take time. So, if you are planning to apply for a scholarship, here is my advice: start early. Do not wait until the call for applications opens. Identify your theme and your overall story, because they are not the same. Read till the end and I will briefly explain the difference. Then highlight any gaps and start working to fill them.Every activity you engage in, including volunteering, short courses, and work experiences, becomes a building block for your narrative. And if your path is not perfect or linear, that is okay. What matters is how you tell your story. Explain the gaps and show growth and purpose.When the time comes to write your essays, do not rush it. Gather information. Read successful applications and consult others who have been through the process, either in person or through their online content on platforms such as YouTube or LinkedIn.Finally, remember that applying for scholarships takes resilience and patience. Some people get it on their first try, while others, like me, get it after learning from failure. Most importantly, put your best foot forward and leave the rest to God.Bonus tip: In this context, your theme is the niche or central focus that runs consistently through your entire application. Your story is the narrative that ties together your experiences, your motivation for applying, and your future aspirations.
